Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Riv.IO (the “Service”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.

1. Acceptance of the Terms

By accessing or using the Service you accept these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

We may update these Terms from time to time as described in “Changes to the Terms” below.

2. Description of the Service

Riv.IO is a financial control plane for AI agents that you already run in your own environment. It provides agent identity, spending policies, a deterministic authorization engine, an auditable ledger and orchestration of the agent's financial cycle.

Important: in Phase 1, Riv.IO is pure software and does not custody, hold, transmit or move real money. It does not issue payment instruments and is not a bank, payment institution, money transmitter or other regulated financial service. Riv.IO returns authorization decisions and records activity; it does not execute payments. Any custody or settlement of real funds described as “Phase 2” would be provided through a licensed third-party partner and under separate terms.

3. Accounts and eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide and for all activity under your account.

You are responsible for safeguarding your login credentials and for any use of your account, whether or not authorized by you. Notify us promptly of any unauthorized access.

4. Agent credentials (riv_ keys)

The Service issues secret API keys (“riv_ keys”) that you place in the environment of your own external agents. We store only a hash of each key; the secret is shown once at creation.

You are solely responsible for the security and use of your riv_ keys and for the conduct of the agents to which you give them. Treat them like passwords. You can archive or revoke a key at any time, which stops it from authorizing further activity.

5. Acceptable use

You agree not to: use the Service for unlawful purposes; attempt to circumvent the authorization engine, policies or rate limits; probe, scan or breach security; interfere with or disrupt the Service; reverse engineer the Service except to the extent permitted by law; or use the Service to build a competing product by copying it.

You are responsible for ensuring that your use of the Service and your agents complies with all laws and third-party terms applicable to you.

6. Customer data and the ledger

You retain ownership of the data you submit to the Service (“Customer Data”). You grant us a limited license to process Customer Data solely to provide and improve the Service.

The ledger is designed to be an immutable audit trail: records of authorized, denied and spent amounts are retained and use soft-delete rather than being erased, so that history remains auditable. Retention is described in our Privacy Policy and may depend on your plan.

7. Fees and billing

Paid plans are billed in advance on a recurring basis through our payment processor. By subscribing you authorize recurring charges until you cancel. Usage above your plan's limits may incur overage as described at the time of purchase.

Except where required by law, fees are non-refundable. You can manage or cancel your subscription through the billing area; cancellation takes effect at the end of the current billing period. We may change pricing prospectively with notice.

8. Third-party agents, frameworks and services

The Service is framework-agnostic and connects to agents and tools you operate (for example CrewAI, LangChain, MCP clients) and relies on third-party providers (for example hosting, authentication and payment processors). We do not control and are not responsible for third-party software, models or services, which are governed by their own terms.

Your use of any third-party service through the Service is at your own risk.

9. No financial or regulated service

Nothing in the Service constitutes financial, investment, accounting, tax or legal advice, and the Service is not a regulated financial service. Authorization decisions are governance signals based on the policies you configure; they do not move money and do not guarantee any financial outcome.

You are responsible for the financial and legal consequences of the actions your agents take, including any actual payments executed outside the Service.

10. Intellectual property

The Service, including its software, design and content (excluding Customer Data and open-source components under their own licenses), is owned by Riv.IO and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription.

Our published SDKs and connectors are licensed under their stated open-source licenses.

11. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure.

12. Limitation of liability

To the maximum extent permitted by law, Riv.IO and its suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or related to your use of the Service.

Our total liability for any claim arising out of or related to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or, if you are on a free plan, one hundred U.S. dollars (US$100).

13. Indemnification

You will indemnify and hold harmless Riv.IO and its officers, employees and agents from any claims, damages, liabilities and expenses (including reasonable legal fees) arising out of your Customer Data, your agents, your use of the Service or your violation of these Terms or applicable law.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. We may also discontinue the Service with reasonable notice.

Upon termination, your right to use the Service ends. We may retain and delete data as described in our Privacy Policy and as required to keep an auditable ledger.

15. Changes to the Terms

We may modify these Terms from time to time. If we make material changes we will provide reasonable notice, for example by posting the updated Terms with a new “last updated” date or through the Service. Your continued use after changes take effect constitutes acceptance.

16. Governing law

These Terms are governed by the laws of the Federative Republic of Brazil, without regard to conflict-of-laws rules. The courts of Brazil will have jurisdiction, except where mandatory consumer-protection law provides otherwise.
